Terms of Service

These terms govern your use of the Offline Intelligence website and the software we distribute. By using the site or by installing our software, you agree to these terms. If you do not agree, please do not use the site or the software.

Where a separate written agreement exists between you and Offline Intelligence, that agreement governs and prevails over any conflict with these terms.

Who we are

Offline Intelligence is a US company that builds AI infrastructure and applications designed to run inside the environments that use them. In these terms, the words "we," "us," and "our" refer to Offline Intelligence. The words "you" and "your" refer to the individual or organization using the site or the software.

License to use our software

Subject to these terms and to any license key or activation we issue to you, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the software on hardware you control. The license permits internal use inside your organization. It does not grant you any right to distribute the software, to make it available as a service to others, or to sell it.

Perpetual licenses do not expire, but they cover the specific version delivered to you unless you have a support plan that includes updates.

What you may not do

You may not reverse engineer, decompile, or attempt to derive the source code of the software, except to the extent that applicable law expressly permits it despite this restriction. You may not modify or create derivative works of the software except through interfaces we make available. You may not remove or obscure notices, credits, or license terms that ship with the software.

You may not use the site or the software in a way that violates law, that infringes anyone's rights, that attempts to circumvent access controls, or that is intended to disrupt normal operation.

Your content and your data

Content you process with our software stays inside your environment. We do not receive it, we do not store it, and we do not use it. You retain all rights to the content you create and to the data you process.

Content you send to us directly, for example in an email or a support ticket, is handled as described in our Privacy Policy.

Intellectual property

The software, the site, and all associated materials are owned by Offline Intelligence or by our licensors and are protected by copyright, trademark, and other laws. Except for the license expressly granted above, no rights are transferred to you. Any feedback you provide about the software may be used by us freely and without restriction.

Third-party components

Our software includes open source components. Those components are licensed under their own terms, which take precedence over these terms for the components they cover. A list of components and their licenses is included with each release.

Support and updates

Support and updates are provided if you have purchased a support plan. Without a plan, the software is provided as delivered and no support is guaranteed. Where support is provided, response times, coverage windows, and channels are described in the plan you purchase.

Fees and taxes

Fees for licenses, deployments, and support plans are set out in your order or in a separate agreement. Unless stated otherwise, fees are stated in US dollars, are non-refundable, and are exclusive of taxes. You are responsible for any taxes owed on your purchase other than taxes on our net income.

Warranties and disclaimers

To the fullest extent permitted by law, the site and the software are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties that arise from a course of dealing or usage of trade.

We do not warrant that the software will be uninterrupted, error free, or free of harmful components. You are responsible for evaluating whether the software meets your needs and for maintaining backups of your data.

Limitation of liability

To the fullest extent permitted by law, in no event will Offline Intelligence, its officers, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the site or the software.

Our total aggregate liability for any claim arising from or related to these terms will not exceed the greater of one hundred US dollars or the amount you paid to Offline Intelligence for the software or services that gave rise to the claim during the twelve months before the claim arose.

Indemnity

You agree to defend, indemnify, and hold harmless Offline Intelligence from any claim, damage, or expense arising from your misuse of the software or the site, from your violation of these terms, or from your violation of any law or the rights of a third party.

Export and sanctions

The software may be subject to United States export control and sanctions laws. You agree not to use, export, or re-export the software in violation of those laws. You represent that you are not located in, and are not a national or resident of, any country or on any list that would prohibit you from receiving the software.

Termination

You may stop using the software at any time. We may suspend or terminate your license if you materially breach these terms. On termination, you must stop using the software and remove installed copies from systems you control. The sections of these terms that by their nature should survive termination will survive.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute arising from or related to these terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Changes to these terms

We may update these terms from time to time. When we make a material change, we will update the effective date at the top and, where appropriate, notify you in another way. Continued use of the site or the software after a change means you accept the updated terms.
